Terms of Service

By accessing or using the Hire Valerie platform ("Platform"), operated by Hire Valerie ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms apply to all users of the Platform, including companies seeking virtual assistant services ("Clients") and individuals offering virtual assistant services ("Virtual Assistants"). By creating an account, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

Hire Valerie is an online marketplace that connects Clients with independent Virtual Assistants who work on managed cloud workspaces. The Platform facilitates the discovery, hiring, and ongoing management of Virtual Assistant engagements.

The Company is not an employer, staffing agency, or employer of record. Virtual Assistants are independent contractors who contract directly with Clients. The Platform provides tools and infrastructure to facilitate these engagements but does not employ, supervise, or control Virtual Assistants as an employer would.

To use the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may not create an account on behalf of another person without their authorization, or create multiple accounts for the purpose of evading restrictions or bans.

4.1 Hiring. Clients may post job listings and hire Virtual Assistants through the Platform. By hiring a Virtual Assistant, you enter into a direct contractor relationship with that individual. Hire Valerie is not a party to any such arrangement.

4.2 Subscription and Billing. Access to workspace provisioning and activity monitoring features requires a paid subscription. Subscription fees are billed monthly per active Virtual Assistant through our third-party payment processor. You authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or as expressly stated in our refund policy.

4.3 Workspace Provisioning. Upon hiring a Virtual Assistant, the Platform may provision a cloud workspace for the Virtual Assistant's use. The workspace is configured for professional use and is subject to the underlying infrastructure provider's terms of service. You acknowledge that workspace availability and performance may be affected by factors outside our control.

4.4 Activity Monitoring. The Platform provides activity monitoring features, including productivity tracking and periodic screenshots, as a tool for Clients to oversee their Virtual Assistants' work. By enabling these features, you acknowledge that you are solely responsible for ensuring that your use of monitoring data complies with applicable laws, including any notice or consent requirements in the Virtual Assistant's jurisdiction. You may not use monitoring data for any purpose other than legitimate business management of your contracted Virtual Assistants.

4.5 Compensation. Clients are responsible for compensating their Virtual Assistants according to the terms agreed between the parties. The Platform facilitates this arrangement but is not responsible for compensation disputes.

5.1 Independent Contractor Status. By registering as a Virtual Assistant on the Platform, you acknowledge that you are an independent contractor, not an employee of Hire Valerie or any Client. You are responsible for your own taxes, insurance, and compliance with applicable laws.

5.2 Workspace Use. If assigned a cloud workspace by a Client through the Platform, you agree to use the workspace solely for work-related activities for that Client. You acknowledge that the workspace and its activity may be monitored by the Client using the Platform's built-in monitoring tools. Do not use the workspace for personal activities, illegal purposes, or activities unrelated to your contracted work.

5.3 Activity Monitoring Acknowledgment. You acknowledge and consent that when working on a Platform-provisioned workspace, your activity -- including application usage, website visits, and periodic screenshots -- may be recorded and made available to the Client who hired you. You should have no expectation of privacy on a Platform-provisioned workspace.

5.4 Profile Accuracy. You are responsible for ensuring your Virtual Assistant profile is accurate, truthful, and kept current. Misrepresenting your qualifications, experience, or identity may result in account suspension or termination.

You may not use the Platform to:

• Violate any applicable law or regulation
• Engage in fraudulent, deceptive, or misleading conduct
• Harass, abuse, or harm other users
• Circumvent Platform fees or billing by arranging direct engagements discovered through the Platform
• Upload or transmit malicious code, viruses, or harmful content
• Scrape, harvest, or collect data from the Platform for unauthorized purposes
• Impersonate any person or entity
• Access any account, data, or system without authorization

Payments between Clients and Virtual Assistants may be tracked through the Platform. Platform subscription fees are processed through a third-party payment processor. By providing payment information, you authorize that processor to process payments on our behalf. The Company is not responsible for payment failures, unauthorized charges, or disputes that arise from issues with your payment method.

The Platform, including its software, design, content, and trademarks, is owned by or licensed to Hire Valerie. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.

You retain ownership of any content you submit to the Platform (such as job postings, profile content, or messages), but you grant us a non-exclusive, royalty-free license to use, store, and display that content for the purpose of operating the Platform.

We reserve the right to suspend or terminate your account at any time, with or without cause, upon notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not endorse, guarantee, or assume responsibility for any Virtual Assistant's qualifications, performance, or conduct.

To the fullest extent permitted by law, Hire Valerie and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or business interruption, arising from your use of the Platform. Our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the three months preceding the claim, or (b) one hundred dollars ($100).

You agree to indemnify, defend, and hold harmless Hire Valerie and its affiliates, officers, directors, employees, and agents from any claim, liability, damage, or expense (including attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Continued use of the Platform after changes become effective constitutes acceptance of the new Terms.
